By accessing or using the website and services of Westex Digital ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Westex Digital provides digital services including, but not limited to: website design and development, branding, CRM systems, automation and workflows, digital marketing strategy, SEO, e-commerce solutions, and lead generation services.

All services are subject to a separate service agreement or proposal outlining scope, deliverables, timelines, and pricing. These Terms of Service govern the general relationship between Westex Digital and all clients and website visitors.

You agree to:

• Provide accurate, complete, and current information as required for project delivery
• Respond to requests for feedback, approvals, or content in a timely manner
• Ensure all content, materials, and assets provided to us do not infringe on third-party intellectual property rights
• Not use our services for any unlawful or prohibited purposes
• Keep your account credentials confidential and notify us immediately of any unauthorized use

All fees for services are outlined in individual service agreements or proposals. Unless otherwise agreed:

• A deposit may be required before work begins
• Invoices are due upon the date specified in the invoice
• Late payments may incur additional fees or result in suspension of services
• All fees are non-refundable unless otherwise specified in your service agreement
• Westex Digital reserves the right to pause or terminate a project in the event of non-payment

Upon receipt of full payment, you will own the final deliverables created specifically for your project. Westex Digital retains the right to:

• Display your completed project in our portfolio and marketing materials
• Retain ownership of any proprietary tools, frameworks, or code templates used in development
• Retain ownership of any work not fully paid for

All third-party tools, plugins, and software used in delivering services remain subject to their respective license agreements.

You agree not to use our website or services to:

• Transmit any unlawful, harmful, or offensive content
• Violate any applicable local, state, national, or international law
• Infringe upon the rights of others, including intellectual property rights
• Introduce malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Engage in spam, phishing, or other deceptive practices

Westex Digital reserves the right to:

• Modify, suspend, or discontinue any service at any time with reasonable notice
• Revise pricing for future projects or renewals
• Update these Terms of Service at any time

We will make reasonable efforts to notify clients of material changes. Continued use of our services after changes take effect constitutes acceptance of the updated terms.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee specific results from our digital marketing, SEO, or lead generation services. Results may vary based on market conditions, competition, and other factors outside our control.

To the fullest extent permitted by law, Westex Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our services.

Our total liability to you for any claims arising from your use of our services shall not exceed the total amount paid by you to Westex Digital in the three (3) months preceding the claim.

Either party may terminate a service agreement with written notice as specified in the individual service contract. Upon termination:

• All outstanding fees become immediately due and payable
• Access to any platform or tools provided by Westex Digital may be revoked
• Deliverables completed and paid for will be transferred to the client

We reserve the right to terminate or suspend access immediately for violations of these Terms of Service.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts located in El Paso County, Texas.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
